SERVICES NETWORK TERMS & CONDITIONS

PORTAL AGREEMENT FUNCTION

These Terms are the single standing agreement for participation in the TNC Services Network. They govern baseline Services Portal access, account administration, relationship conduct, communications, confidentiality, payment authority, service-request procedures, records, and the conditions for requesting or receiving services. They do not by themselves order a service, approve a scope, create a payment obligation, authorize work to begin, or establish acceptance of a deliverable.

ACTION-SPECIFIC INSTRUMENTS

Each purchased or commissioned service requires the applicable Service Authorization or Statement of Work identifying scope, deliverables, price, timing, dependencies, change control, cancellation, commencement, acceptance, and any special terms. Payment, commencement, delivery, change, cancellation, and acceptance remain distinct states supported by separate records or receipts.

LEGAL HIERARCHY

TNC Ecosystem Participation Terms & Conditions → Services Network Terms & Conditions → Service Authorization / Statement of Work → applicable payment, change, cancellation, delivery, and acceptance records.

1. PURPOSE

These Terms establish baseline participation in the portal-based 1290 Services Network™ for individuals and organizations exploring, requesting, purchasing, or receiving paid non-recruiting Career Services or Corporate Services from TNC.

These Terms govern the Services relationship and baseline portal use. They do not themselves create a Service engagement, approve a proposal, accept an SOW, create an invoice, confirm payment, activate a service workspace, require a deliverable, or guarantee an outcome.

2. TNC Ecosystem Participation Terms & Conditions

Services participation also requires acceptance of the current released TNC Ecosystem Participation Terms & Conditions, including the applicable Account & Platform Terms, Privacy Notice, Communications Notice, Electronic Records & Signature Consent, Experience Participation Terms, Public & Commercial Participation Terms, Security & Acceptable Use Terms, Recording & Transcription Notice, and Accessibility Notice.

The Standard Protocol governs universal ecosystem subjects. These Terms govern the Services Network relationship. The Master Agreement and action-specific SOWs, Commercial Schedules, Change Authorizations, and acceptance records govern their stated subjects.

3. SERVICES NETWORK SCOPE

The Services Network includes paid, non-recruiting work such as:

• Career Services for individuals outside ordinary employer-funded recruiting representation;

• Corporate Services for organizations outside the scope of a Client Protected Search or Client Signature;

• advisory, strategy, research, writing, document, training, workforce, brand, operational, or other approved professional services; and

• other written non-recruiting services accepted through the Services Network.

A Services relationship does not create or replace a Client Network, Talent Network recruiting relationship, Partner Network, Protected Search, Client or Talent Signature, Partner split, World Connections identity, WC Private Membership, Investor Relationship, Enterprise Diamond, or 1290 Circle relationship.

4. ELIGIBILITY, IDENTITY, AND AUTHORITY

A Services participant must provide accurate identity, organization, authority, billing, contact, tax, and project information appropriate to the requested service.

For an organization, TNC may validate:

• legal entity and business contact information;

• signer and purchasing authority;

• billing and procurement contacts;

• stakeholder and decision-maker roles;

• data, confidentiality, and security requirements;

• tax status and exemption documents;

• ability to provide dependencies and approvals; and

• any conflict, legal, professional, or risk information relevant to the service.

A portal administrator, WC participant, organization affiliate, or person linked to the same canonical CRM identity is not automatically authorized to accept an SOW, modify scope, approve a Change Authorization, accept a deliverable, request a refund, bind an affiliate, or access another organization's Services records.

4A. WORLD CONNECTIONS AND SERVICES RELATIONSHIP SEPARATION

A World Connections relationship—including Executive, Influencer, Legacy, WC Private Membership, Investor Relationship, Enterprise & Organization Diamond Circle, 1290 Circle, or WC social/event participation—does not itself order or include Career Services, Corporate Services, an SOW, deliverable, service capacity, Client access, recruiting representation, or another Services entitlement.

Conversely, purchasing or receiving Services does not create WC identity, Private Membership, Investor, Enterprise Diamond, 1290 Circle, Client, Talent, or Partner status. Any relationship transition or cross-sell requires its own eligibility, authority, agreement, payment, and activation state.

1290 CRM may preserve one canonical person/organization and the history of both relationships, but service files, private career materials, project information, WC activity, and other context remain purpose-, audience-, confidentiality-, and authorization-scoped. Internal linkage is not permission to disclose or repurpose information across relationships.

5. BASELINE SERVICES PORTAL ACTIVATION

Baseline Services Portal activation requires:

• current TNC Ecosystem Participation Terms & Conditions acceptance;

• secure authentication;

• completed Services Questions;

• identity or organization and authority validation appropriate to the relationship;

• acceptance of these Services Portal Terms; and

• valid version-specific receipts.

Baseline access may include profile, approved contacts, Trust and Agreements, requests, proposals, Secure Conversations, Secure Upload, documents, bookings, billing references, workspaces, support, notifications, and My 1290 Relationship.

Baseline access does not commence work, reserve capacity, create an invoice, confirm payment, create a service entitlement, approve an SOW, deliver a file, or create acceptance.

6. MASTER AGREEMENT

The Career & Corporate Services Master Agreement establishes the standing commercial and legal relationship for paid Services work.

TNC may require the Master Agreement before issuing or accepting an SOW, receiving confidential project files, approving a service workspace, or beginning substantive work.

Reacceptance may be required after a material legal change, expiration, termination, Customer entity change, authority change, risk event, consumer/business classification change, or another controlling requirement.

7. SERVICE AUTHORIZATION OR STATEMENT OF WORK

Each paid engagement requires an accepted Service Authorization or Statement of Work (“SOW”) identifying, as applicable:

• Customer and authorized contact;

• service class and offering ID;

• objective and scope;

• deliverables and exclusions;

• dependencies and Customer responsibilities;

• schedule and milestones;

• price and payment structure;

• taxes and approved expenses;

• review rounds and acceptance criteria;

• cancellation, rescheduling, pause, and restart terms;

• confidentiality, data, intellectual-property, and use rights;

• public/commercial disclosure selections;

• support and closeout terms; and

• exact incorporated documents, signatures, and receipts.

A proposal, portal card, conversation, payment link, or invoice label does not replace the accepted SOW.

8. SERVICE COMMENCEMENT

A Service engagement becomes active only after:

• the TNC Ecosystem Participation Terms & Conditions and these Services Portal Terms are current;

• the Master Agreement is effective where required;

• the SOW and applicable Commercial Schedule are accepted;

• required identity, authority, scope, dependency, confidentiality, security, and tax information is complete;

• the required initial payment is confirmed by the approved financial authority, unless a written exception controls;

• TNC approves commencement; and

• a service-workspace or entitlement receipt is issued.

Payment alone does not activate work. Portal access, a signed SOW, an invoice, or a paid invoice does not silently create commencement without the required TNC approval and receipt.

9. CUSTOMER RESPONSIBILITIES

Customer will:

• provide accurate objectives, instructions, source materials, dependencies, access, stakeholders, and deadlines;

• identify an authorized decision-maker and feedback consolidator;

• protect credentials and confidential TNC materials;

• avoid providing sensitive or restricted information through an unapproved method;

• timely review and provide consolidated feedback;

• disclose material scope, audience, platform, legal, security, or procurement changes;

• use deliverables only within the rights stated in the SOW;

• obtain any third-party permissions required for Customer-provided content; and

• comply with payment, change, cancellation, acceptance, confidentiality, and other accepted terms.

Customer delay may extend schedules and may trigger pause, rebaseline, closeout, or restart treatment stated in the controlling documents.

10. PAYMENT AND FINANCIAL AUTHORITY

The accepted SOW and Commercial Schedule control price, payment structure, due dates, deposits, milestones, taxes, expenses, cancellation, refunds, credits, and acceptance.

the approved financial authority controls invoices, cleared payments, credits, refunds, adjustments, and reversals.

Proposal accepted is not payment confirmed. Invoice issued is not cleared funds. Payment confirmed is not service commencement. Service commencement is not delivery. Delivery is not acceptance. Acceptance is not a guaranteed outcome.

11. CHANGES

Scope, price, schedule, deliverables, dependencies, review rounds, acceptance criteria, confidentiality, public-use rights, or other material terms may be changed only through an approved written Change Authorization.

No changed work is authorized merely because it was requested in a meeting, message, comment, upload, or draft.

12. CANCELLATION, PAUSE, AND RESCHEDULING

The SOW and Commercial Schedule must state the applicable cancellation, pause, rescheduling, no-show, earned-work, refund, credit, capacity, and closeout rules.

No nonrefundable charge, forfeiture, cancellation amount, restart fee, or deemed acceptance may be implied. It must be disclosed and accepted where used and lawful.

Consumer-facing and business-to-business services may require different rules.

13. DELIVERABLES, REVIEW, AND ACCEPTANCE

Deliverables, formats, review rounds, acceptance criteria, feedback method, review deadline, correction process, and deemed-acceptance treatment, if any, must be stated in the SOW.

A new preference, stakeholder, strategy, audience, platform, or objective is a change request rather than a defect unless the SOW states otherwise.

A valid rejection must identify the deliverable, acceptance criterion allegedly unmet, evidence, requested correction, and urgency. TNC receives a reasonable cure opportunity for a valid nonconformity.

14. INTELLECTUAL PROPERTY AND USE RIGHTS

Customer retains rights in Customer materials. TNC retains rights in its pre-existing and general know-how, methods, templates, frameworks, systems, prompts, models, processes, brand assets, and reusable tools.

Ownership and license rights in custom deliverables must be stated in the SOW. Payment alone does not transfer more rights than the accepted SOW provides.

Customer may not resell, white-label, republish, train an unrelated model on, or create a competing product from TNC materials unless the SOW expressly permits it.

15. CONFIDENTIALITY AND DATA

Each party will protect nonpublic business, personal, financial, technical, strategy, project, career, and service information and use it only for the authorized engagement.

Universal TNC privacy, security, communications, recording, and electronic-records subjects remain governed by the Standard Protocol. A service-specific data-processing, confidentiality, security, or jurisdiction addendum remains required where applicable.

Customer files, private strategy, personal career materials, confidential deliverables, and detailed results are not public merely because TNC Public & Commercial Participation applies.

16. TNC EXPERIENCE PARTICIPATION

TNC Experience Participation supports authorized relationship continuity, personalization, analytics, T.E.A.-assisted research and drafting, organization, recommendations, quality, accessibility, security, and service improvement. 1290 CRM may connect authorized relationship history without collapsing WC, Client, Talent, Partner, or Services confidentiality and purpose boundaries.

Technology-assisted output remains subject to human review, source validation, the SOW, confidentiality, audience, relationship-purpose restrictions, and acceptance criteria. It is not automatically accurate, delivered, accepted, public, canonical, or authorized for use in another 1290 relationship.

17. TNC PUBLIC & COMMERCIAL PARTICIPATION

TNC may use aggregate or de-identified Services activity, accurate identification of a nonrestricted Customer relationship, and TNC-owned descriptions of its services and methods under the TNC Public & Commercial Participation Terms.

Endorsement-style logo use, named testimonials, identifiable media, detailed case studies, private deliverables, personal career materials, proprietary facts, or confidential results require the applicable SOW selection, content approval, publicity right, or separate authorization.

18. COMMUNICATIONS, RECORDING, AND ELECTRONIC RECORDS

Communications are governed by the TNC Communications Notice. Recording or transcription requires the TNC Recording & Transcription Notice and any required consent.

Electronic acceptance is governed by the TNC Electronic Records & Signature Consent. Every agreement, SOW, change, payment, commencement, delivery, acceptance, cancellation, refund, credit, and closeout event must preserve the exact actor, Customer, authority, document or action, version, scope, decision, timestamp, integrity reference, and receipt ID.

19. SECURITY AND ACCEPTABLE USE

Customer must protect credentials, use approved channels, avoid unauthorized uploads or access, and report suspected compromise or misdirected confidential information.

TNC may restrict or suspend access for security, identity, authority, data, confidentiality, payment, unlawful conduct, or material-breach risk.

20. NO OUTCOME GUARANTEE

Services may support Customer objectives but do not guarantee employment, promotion, hiring, revenue, business performance, legal compliance, funding, investment, publication, audience results, or another outcome unless the accepted SOW expressly states a guarantee.

21. SUSPENSION AND TERMINATION

TNC may suspend or terminate portal access or a Services relationship for security risk, unauthorized data use, misrepresentation, harassment, unlawful conduct, confidentiality breach, payment default, intellectual-property misuse, circumvention, or another material breach.

Suspension or termination does not erase earned fees, confidentiality, intellectual-property restrictions, accepted deliverable rights, audit, payment, dispute, closeout, or other surviving obligations.

22. ORDER OF PRECEDENCE

Unless an instrument expressly states otherwise:

1. signed amendment, approved settlement, or TNC-approved written exception;

2. accepted SOW and Change Authorization for the specific engagement;

3. Service Payment, Change, Cancellation & Acceptance Schedule for its stated subjects;

4. Career & Corporate Services Master Agreement;

5. these Services Network Terms & Conditions;

6. TNC Ecosystem Participation Terms & Conditions; and

7. public summaries or help content.

23. GOVERNING LAW; VENUE

These Terms are governed by Kansas law, without regard to conflict-of-law principles. Exclusive venue lies in the state or federal courts serving Sedgwick County, Kansas, subject to mandatory law that cannot be waived and final TNC review of consumer, business, tax, digital-service, cancellation, and multi-state requirements.

CURRENT CROSS-NETWORK INTELLIGENCE AND RECORD BOUNDARY

A Services relationship, proposal, purchase, deliverable, WC identity, WC payment, Client affiliation, Talent relationship, or other 1290 relationship does not create another Network relationship, Client-account access, recruiting priority, Candidate submission, Investor status, Enterprise participation, 1290 Circle participation, public identification, or permission to reuse confidential service information for another purpose.

T.E.A. may support participant-facing intake, scope clarification, research, drafting, explanation, accessibility, and relationship continuity within the authorized service. The 1290 CRM may preserve one global identity, separate Services and other relationship chapters, source-tagged requests, agreements, files, payments, acceptance records, and outcomes. Unified records do not expand the accepted SOW, license, audience, confidentiality state, or data-use purpose.

Any proposed use of Customer materials, service results, or relationship history for WC, Client, Talent, Partner, public, commercial, testimonial, case-study, media, training, or another purpose requires the applicable legal basis, permission, agreement, confidentiality treatment, and receipt.
